Welcome to Kasazon. These Terms of Use ("Terms") govern your access to and use of the Kasazon website, platform, services, and any related tools or applications (collectively, the "Platform"). By accessing or using Kasazon, you agree to be legally bound by these Terms. If you do not agree, you must not use the Platform.
Important Note: Kasazon is exclusively a business-to-business (B2B) platform. These Terms apply to business entities only, not individual consumers.

1. About Kasazon
Kasazon is a business-to-business (B2B) cross-border trade and fulfillment platform designed to connect global manufacturers, exporters, and suppliers with African distributors, wholesalers, retailers, and institutional buyers.
What Kasazon IS:
- ✓ B2B trade and fulfillment platform
- ✓ Marketplace for bulk cross-border trade
- ✓ Coordinator of logistics & payment workflows
- ✓ Trade facilitation and compliance support
What Kasazon IS NOT:
- ✗ A bank or financial institution
- ✗ A payment service provider
- ✗ Custodian of funds
- ✗ Customs broker or freight forwarder
- ✗ Product manufacturer or owner
Important: Kasazon does not manufacture, own, buy, or sell goods. Kasazon does not act as a bank, payment service provider, customs broker, freight forwarder, or insurer. All commercial transactions are between buyers and sellers directly.
2. Eligibility and Business Use Only
Kasazon is available strictly for business users. By registering or using the Platform, you confirm that:
- You are acting on behalf of a legally registered business entity
- You have the authority to bind that entity to these Terms
- Your business operates in compliance with all applicable laws
- You are not listed on any sanctions or prohibited parties lists
Business Verification: Kasazon may require documentation to verify your business registration, tax status, and operational legitimacy. This may include business registration certificates, tax identification numbers, and proof of address.
3. Account Registration and Verification
To access certain services, users must create an account and provide accurate, complete, and up-to-date business information including:
- Legal business name and registration details
- Business address and contact information
- Tax identification number (where applicable)
- Authorized representatives and their positions
- Business type and industry classification
Verification Process: Kasazon may conduct business verification, compliance checks, or request supporting documentation directly or through partners. This may include:
- Know Your Business (KYB) checks
- Anti-Money Laundering (AML) screening
- Sanctions and watchlist screening
- Trade compliance verification
Account Security: You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. Notify Kasazon immediately of any unauthorized use of your account.
4. Role of Kasazon in Transactions
Kasazon acts solely as a trade facilitator and coordination platform. All commercial agreements, including pricing, product specifications, delivery terms, and payment terms are entered into directly between buyers and sellers.
What Kasazon Facilitates:
- Product discovery and business matching
- Trade workflow coordination
- Documentation and compliance support
- Logistics and fulfillment coordination
- Payment orchestration through licensed partners
What Kasazon Does NOT Guarantee:
- Transaction completion or success
- Product availability, quality, or specifications
- Regulatory approvals or compliance
- Delivery timelines or logistics performance
- Payment settlement or currency conversion rates
5. Payments and Settlement
Payments are collected and settled through licensed third-party financial institutions and payment service providers. Kasazon does not:
- Hold customer funds or provide escrow services
- Provide regulated financial services
- Handle currency exchange directly
- Guarantee payment completion or timing
Payment Terms:
- Settlement timelines, currencies, and payment methods are agreed during onboarding
- All payments are subject to applicable laws and partner terms
- Where available, PAPSS (Pan-African Payment and Settlement System) may be used for intra-African settlements
- Currency conversion rates are determined by financial partners
6. Fees and Pricing
Kasazon operates a performance-based pricing model. Applicable commissions, logistics fees, and service charges are disclosed prior to transaction confirmation.
Fee Structure:
- Transaction Commission: 5% - 12% per successful transaction (rate varies by product category and volume)
- Logistics & Warehousing: Priced per shipment, quoted transparently
- Value-Added Services: Market advisory, compliance support (if applicable)
Important Fee Terms:
- Fees are generally charged only upon successful transaction execution
- No upfront listing fees during pilot phase
- Commission rates may vary based on product category, order volume, and target markets
- All fees are exclusive of taxes, duties, and other government charges
7. Intellectual Property
All Platform content, software, trademarks, logos, and materials are the intellectual property of Kasazon or its licensors. This includes, but is not limited to:
- Platform design, layout, and user interface
- Software code, algorithms, and business processes
- Trademarks, logos, and brand elements
- Documentation, guides, and training materials
- Data analytics and insights methodologies
User Restrictions:
Users may not:
- Copy, modify, distribute, or exploit any Platform content without written permission
- Reverse engineer, decompile, or disassemble any Platform software
- Use Kasazon trademarks or logos without authorization
- Create derivative works based on the Platform
- Use Platform data for competitive analysis or business intelligence
8. Prohibited Use
Users may not use the Platform for:
Illegal or Fraudulent Activities:
- Money laundering, terrorist financing, or sanctions evasion
- Tax evasion or fraudulent trade practices
- Identity theft or business impersonation
- Bribery, corruption, or unethical business practices
Prohibited Products:
- Illegal, counterfeit, or pirated goods
- Weapons, ammunition, or military equipment
- Narcotics, controlled substances, or illegal drugs
- Hazardous materials or regulated chemicals
- Products subject to trade embargoes or sanctions
Platform Abuse:
- Misrepresent products or business credentials
- Attempt to bypass Platform safeguards or security
- Interfere with other users' use of the Platform
- Use automated systems to access the Platform (except approved APIs)
- Spread malware, viruses, or harmful code
9. Limitation of Liability
To the maximum extent permitted by law, Kasazon shall not be liable for:
- Indirect, incidental, consequential, or special damages
- Loss of profits, revenue, or business opportunities
- Business interruption or operational losses
- Data loss or corruption
- Reputational damage or goodwill loss
Specific Exclusions:
- Transaction Issues: Failed transactions, delivery delays, quality disputes
- Third-Party Services: Actions of logistics partners, payment providers, or other service providers
- Regulatory Changes: Impact of regulatory or policy changes on trade
- Force Majeure: Events beyond reasonable control (natural disasters, wars, etc.)
Indemnification: You agree to indemnify and hold Kasazon harmless from any claims, damages, or losses arising from your use of the Platform, violation of these Terms, or infringement of any third-party rights.
10. Governing Law and Dispute Resolution
Governing Law:

Dispute Resolution:
